Legal Agreement: By engaging with our agency, using our website, or requesting any service from us, you agree to the policies, responsibilities, and limitations outlined below.
1. Project Initiation
- Projects begin only after the Client provides complete requirements, supporting documents, access credentials, and all necessary inputs.
- Once the Agency reviews the initial information, we will share the project feasibility, quotation, scope, and timelines.
- Work officially commences only after the initial payment is received.
2. Payments & Billing
- All payments must follow the issued invoice or agreed milestone schedule.
- Delayed or missed payments will result in immediate suspension of work.
- All payments made are strictly non-refundable.
- Any task outside the agreed scope will be charged separately.
- Final deliverables are released only after full and successful payment.
3. Scope of Work
- The Agency will deliver the services strictly within the documented and approved scope.
- Any request not stated in the scope will be considered additional work.
- Anti-piracy and counterfeit services include monitoring, reporting, and takedown requests; complete removal of piracy or counterfeit content is not guaranteed.
- Cybersecurity services include assessments and recommendations; they do not guarantee breach prevention.
- Software development covers design, development, and testing; domain, hosting, plugins, APIs, and third-party tools are not included unless specified.
4. Revisions
- Each project includes a fixed number of revisions specified in the scope of work.
- Revisions must align with the original brief.
- Major creative changes or concept shifts are treated as new work and billed accordingly.
- Extra revisions beyond the allotted count are chargeable.
5. Timelines & Delays
- Timelines begin only after the Client submits all required inputs and makes the initial payment.
- Any delay from the Client's side will automatically extend the project deadlines.
- The Agency is not responsible for delays caused by external creators, platforms, editors, APIs, or pending client approvals.
- Timeline estimates are approximate unless explicitly confirmed as fixed deadlines in writing.
6. Client Responsibilities
- The Client must provide accurate, legal, and complete information.
- The Client must also review drafts and deliverables on time.
- All materials provided must be legally owned or licensed by the Client.
- The Agency is not liable for issues arising from fake, stolen, or misleading data submitted by the Client.
7. Deliverables & Ownership
- Ownership of final deliverables transfers only after full payment is made.
- Raw files, source code, project files, and unedited footage are not included unless explicitly purchased.
- The Agency may showcase completed work in its portfolio unless restricted by a mutually signed NDA.
- Software delivery does not include hosting or long-term maintenance unless added as a paid service.
8. Software Development Terms
- Bugs reported within the agreed warranty period will be fixed at no additional charge.
- New features, redesigns, or architecture changes will be billed as fresh work.
- The Agency is not responsible for hosting problems, server crashes, third-party API failures, or issues caused by changes made externally by the Client or third-party developers.
- Any licensing or subscription cost for premium tools must be paid by the Client.
9. Cybersecurity Terms
- Our cybersecurity services offer analysis, recommendations, and reporting — not full protection guarantees.
- If breaches occur due to weak passwords, outdated systems, ignored recommendations, or client-side negligence, the Agency is not liable.
- Security audit reports are advisory and do not serve as legal certifications.
- Implementation of cybersecurity solutions is the Client's responsibility unless contracted as an add-on service.
10. Anti-Piracy & Counterfeit Management
- Takedown effectiveness depends on the policies of individual platforms; complete removal cannot be guaranteed.
- The Client must provide valid ownership proof such as trademarks, copyrights, or legal documentation.
- Monitoring is based on available tools and platform limitations.
- Legal action or litigation support is not included unless specifically contracted.
11. Marketing, SMM, Ads & UGC Services
- No agency can guarantee specific results such as sales, viral reach, or fixed performance numbers.
- Creator availability is subject to scheduling and may require replacements.
- Raw footage for UGC content is not included unless purchased additionally.
- Ad performance may vary due to algorithms, budget, audience, competition, or external factors.
12. Confidentiality
- Both the Client and the Agency must maintain confidentiality regarding all shared information.
- Publicly available information or content not designated as confidential is excluded.
- Unless restricted by NDA, the Agency may showcase finished work for portfolio or promotional use.
13. Cancellation & Termination
- If the Client cancels the project, all payments made remain non-refundable.
- If work for future milestones has already begun, pending payments must be cleared.
- The Agency may terminate the engagement due to abusive behavior, illegal instructions, or non-payment.
- All completed work up to the termination date remains billable.
14. Limitation of Liability
- The Agency is not responsible for any business losses, cyber breaches, ad failures, loss of sales, or platform bans.
- Maximum liability is limited strictly to the amount paid for the specific service in question.
- The Agency is not liable for issues caused by third-party systems or platform restrictions.
15. Disputes & Jurisdiction
- Both parties must attempt resolution through direct communication before escalating disputes.
- All disputes fall under the jurisdiction of Chennai, Tamil Nadu, and legal proceedings will be conducted exclusively in Chennai courts.
16. Updates to These Terms
- NxtEdge Technologies may update these Terms & Conditions at any time without prior notice.
- The latest version automatically applies to all new and ongoing projects.
